1. Introduction

Welcome to To Today (the "Service"). The Service is operated by METALOOP LTD ("we," "us," or "our").

Please read these Terms of Service ("Terms") carefully before using the Service. By registering an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to any part of these Terms, please discontinue use of the Service.

2. Eligibility

  1. These Terms apply to all users who access or use the Service.
  2. Age Restriction: You must meet the minimum age required by the laws of your jurisdiction to register and use the Service. Where no specific local requirement applies, you must be at least 14 years of age. If we become aware that an account holder does not meet the applicable age requirement, we reserve the right to terminate that account.
  3. Minor users must use the Service with the knowledge and consent of a parent or guardian, who bears responsibility for the minor's use.
  4. You represent that all registration information you provide is truthful, accurate, and complete.

3. Account Registration and Security

  1. You must register with a valid email address. Each email address may only be associated with one account.
  2. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
  3. If you suspect unauthorized access or a security vulnerability, please contact us immediately at [email protected].
  4. We will never proactively ask for your password.
  5. You may not transfer, sell, or share your account with any third party.

4. Description of Service

To Today provides the following core features:

  • Task management (create, edit, delete, categorize, prioritize, recurring rules)
  • To Today focus panel (daily task focus view)
  • Quick Notes (daily journal and frequently-used records)
  • Project groups and collaboration (invite members to share tasks)
  • Reminder notifications (browser push)
  • Real-time multi-device sync
  • PWA installation support

We reserve the right to modify, add, or discontinue features at any time, and will make reasonable efforts to notify users of significant changes in advance.

5. User Conduct

When using the Service, you agree not to:

  1. Upload, post, or transmit any content that is unlawful, harmful, defamatory, harassing, or infringing;
  2. Use automated tools (bots, scrapers, scripts, etc.) to bulk access or extract data from the Service;
  3. Attempt to reverse engineer, interfere with, or disrupt the normal operation of the Service;
  4. Impersonate any person or entity or create accounts under false pretenses;
  5. Use the Service for any purpose that violates applicable laws or regulations;
  6. Access another user's account or data without authorization.

Violations may result in suspension or termination of your account, and we reserve the right to pursue legal remedies.

6. Intellectual Property

  1. All intellectual property rights in the Service, including software, interface design, text, icons, and related content, are owned by METALOOP LTD.
  2. Content you create within the Service — such as tasks and notes ("User Content") — remains your property. You grant us a limited license to store, process, and display User Content solely as necessary to provide the Service.
  3. You represent that you have all rights necessary to submit User Content and that it does not infringe any third-party rights.

7. Disclaimers

  1. The Service is provided on an "as is" and "as available" basis. We make no warranties regarding uninterrupted availability, freedom from errors, or fitness for a particular purpose.
  2. We are not liable for:
    • Data loss or service interruptions caused by network outages, device failures, or force majeure events;
    • Losses arising from your breach of these Terms or misuse of the Service;
    • Interruptions or data issues caused by third-party infrastructure providers (including Supabase and Vercel).
  3. To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, or consequential damages, or for loss of profits.

8. Modifications and Termination

  1. We reserve the right to amend these Terms at any time. Material changes will be communicated via email or in-app notice with reasonable advance notice. Continued use of the Service constitutes acceptance of the revised Terms.
  2. You may delete your account and discontinue use of the Service at any time. Upon account deletion, your data will be handled in accordance with our Privacy Policy.
  3. We may suspend or terminate your account without prior notice if you violate these Terms.

9. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from or relating to these Terms shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the competent courts of Hong Kong.

In the event of any conflict between the Chinese and English versions of these Terms, the Chinese version shall prevail.
